Acceptance of Terms

By accessing or using Digital Masters Vault ("we," "us," "our," or "the Service"), you ("Customer," "you," or "your") agree to be bound by these Terms and Services ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and Digital Masters Vault.

Your purchase of a membership and use of our Service indicates your acceptance of these Terms.

Service Description

Digital Masters Vault provides a membership-based platform offering access to a library of digital products including templates, graphics, courses, software, and other digital materials. Upon payment of the one-time membership fee, you receive unlimited access to download digital products from our member portal.

1. Membership and Access:

One-Time Payment

• Membership requires a single, one-time payment

• Payment grants immediate access to the member portal and all available digital products

• Access includes unlimited downloads of all current and future products added to the library

Account Security

• You are responsible for maintaining the confidentiality of your login credentials

• You may not share, transfer, or allow others to use your account credentials

• You may not provide access to the membership area or its privileges to any third party

• Any unauthorized sharing will result in immediate termination of your membership without refund

Account Termination

• We reserve the right to suspend or terminate your account at our sole discretion

• Accounts may be terminated for violation of these Terms

• Upon termination, you lose all access to the member portal and downloading privileges

• Previously downloaded products may be retained and used according to the license terms

2. Product Licensing and Usage Rights:

Master Resell Rights (MRR) and Private Label Rights (PLR)

Digital products come with Master Resell Rights and Private Label Rights, which grant you the following permissions:

You MAY:

• Use products for personal and commercial purposes

• Modify, edit, rebrand, and customize the products

• Resell the products as your own

• Pass on resell rights to your customers

• Use the products in your own business operations

• Create derivative works based on the products

You MAY NOT:

• Claim copyright ownership of the original products

• Represent yourself as the original creator of unmodified products

• Sell or distribute membership access to Digital Masters Vault

• Share your login credentials or account access

Intellectual Property

• You receive usage and resell rights but not ownership of intellectual property

• You may not register copyrights, trademarks, or other intellectual property rights in the original products

• Modified or rebranded versions may be protected under your own intellectual property rights

3. Prohibited Uses

You agree not to use our products or services for:

Offensive Content

• Creating hateful, discriminatory, or offensive materials

• Developing content that promotes violence, harassment, or illegal activities

• Producing inappropriate or explicit content

• Any use that violates applicable laws or regulations

Unauthorized Activities

• Attempting to reverse engineer, hack, or compromise our platform

• Using automated tools to mass-download content beyond normal usage

• Interfering with other users' access to the service

• Any activity that damages our reputation or business interests

4. No Refund Policy

ALL SALES ARE FINAL. NO REFUNDS WILL BE PROVIDED UNDER ANY CIRCUMSTANCES.

This policy exists because:

• Digital products are delivered immediately upon purchase

• You gain instant access to the entire product library

• The nature of digital products makes returns impractical

• This policy is clearly stated before purchase

By completing your purchase, you acknowledge and accept this no-refund policy.

5. Income and Earnings Disclaimer:

• THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OF LIABILITY

8. Indemnification

You agree to indemnify, defend, and hold harmless Digital Masters Vault, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our products or services

• Your violation of these Terms

• Your violation of any third-party rights

• Any content you create using our products

9. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Mandatory Arbitration

Any disputes arising from these Terms or your use of our Service shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in New York, NY, or remotely if agreed upon by both parties.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
